Terms and Conditions

1. Scope of Work

Mega Laser Support Private Limited -mls- shall provide to the Client the Services in the respect of the equipment listed in the maintenance Service Agreement, subject to (i) verification that the Client’s equipment is on “mls” maintenance Service Agreement and (ii) testing by mls Engineer as to the maintainability of the equipment.

2. Validity of Agreement

-The validity of this agreement is for a period of 12 months commencing on the date mls approves this maintenance Service Agreement, upon completion of the verification and testing of the equipment.

-This Agreement will be effective from the Commencement Date of Service and will initially continue for the Minimum Term of 6 calendar months, after which the provisions of this Agreement will continue to apply at the then current Charges until terminated by either party serving not less than 01 calendar month notice in writing.

3. Terms of Payment

Payment shall be made in full within 30 days from date of invoice. If any sum due from the Client shall not be paid within the payment terms agreed herein, mls shall be entitled to suspend the Service without adjustment to the Charges until such time as any amount due shall have been paid.

4. Breach of Agreement

If either party shall be in default of its obligations under this Agreement then such default may be considered by the other party to be a breach of Agreement. Failure to remedy such Breach which has continued for 30 days after receipt of written notice thereof shall entitle the other party to terminate this Agreement summarily and without prejudice to the party's rights and remedies existing at the date of termination. Any outstanding sums due under the Agreement will become immediately payable.

Without prejudice to any other rights and remedies available to the Client hereunder upon the termination by the Client of this Agreement in accordance with the terms hereunder or for any reason whatsoever, mls shall forthwith refund to the Client the Contract Sum or such part thereof (on a pro-rated basis) for which the Services and/or maintenance Works have not at the date of termination been undertaken by mls. For this purpose, the statement of account issued by the Client in respect of the amount to be refunded shall be conclusive evidence as to the amount due and owing by mls to the Client.

5. Termination Clause

Contract shall be valid until terminated by either party (with 30days advance written notice) under the provisions of this Agreement.

6. Exclusions

The Client acknowledges that the Services provided by mls under this Agreement do not include as below:

Repair of damage arising from the re-installation, moving or removing of the printer’s hardware by a person other than the mls service engineer.

Repair of damage caused by the failure of electrical power, air-conditioning, and humidity control or due to accident, fire or water damages or any environmental factors. Painting or re-furbishing the whole or any part of the printer.

Repair of damage arising from the Client’s failure to comply with any provision of this Agreement.

Repair of damage caused by any circumstances beyond mls control or shifting/ relocation of hardware/ printer outside the premises under this maintenance Service Agreement

Accessories, attachments and consumables including items such as ribbons, toners, network cards, font cartridges, duplexer units, printer covers, paper trays, optional scanner, Memory upgrades, maintenance Kit (HP Listed Consumables) or any lost of expendable items.

7. Client’s Obligations

The Client shall provide mls service engineer/s full and free access to the Equipment for the purposes of performing the service and shall make available to the service engineer consumable materials (e.g. paper) that may reasonably be requested in order to perform the diagnostic tests.

During the period of this agreement and for a period of six months from termination of this Agreement for any reason, the Client will not employ or offer employment to any person employed by or acting on behalf of mls. If the Client is in breach of this condition, the Client recognizes that the mls will suffer substantial loss and will reimburse “mls” for such loss.

8. Managed Support Services

The Client may report faults by telephone to the call center number given. Faults reported will be logged within the cover period and mls will respond to the fault logged within the Cover Period either by telephone or by the visit to the Client's premises of a service engineer

Additional equipment may be added to this Agreement as the Client may request from time to time provided that such additional equipment is acceptable by mls. For the avoidance of doubt, the inclusion of additional equipment within this Agreement shall be deemed to be a variation of this Agreement and shall not be deemed to be the creation of a new agreement. The charges for any additional equipment shall be invoiced pro rata from the date of addition up to the date that the next invoice is due. Thereafter the additional Charges shall be consolidated with the main invoice.

Equipment may be removed from this Agreement as the Client may request on 30 days prior written notice provided always that such removal of Equipment does not cause the revised Charges under this Agreement following removal of Equipment to fall to less than 50% of the Charges at the Commencement Date of the Services without the consent of the mls.

9. Responsibility of mls

mls shall provide labor, parts and both Electronics and Mechanical hardware that it deems necessary for maintaining the printers under maintenance Service Agreement.

mls will provide Two 02 times Printer Preventive maintenance Services under this maintenance Service Agreement. Printer Preventive maintenance includes; Cleaning, vacuuming and diagnostic of printers.

Following diagnosis of the fault, mls will work to correct the fault to maintain the Equipment as is, repairing or replacing faulty components as necessary. Removed faulty components shall become the property of the “mls” and replacement parts shall become the property of the Client.

In the event that any failing items of equipment designated in the Schedule cannot be repaired on failure then a suitable exchange/ loan unit will be provided at a subsequently scheduled service visit. For the avoidance of doubt, exchange/ loan units provided may not be identical equipment to those being replaced and may be of equivalent or better specification, but it will be compatible with the operating system in use. In the event that exchange/ loan equipment provided by mls whilst the Client's Equipment is repaired shall always remain the property of mls.

All service enquiries will be attended to within four (04) hours from the time of call. Calls received after 3:00pm will be attended on the next business working day.

mls is not liable for the performance or non-performance of third party vendors, their products, or their support services.

10. Penalty

mls will undertake to service all equipment in the contract to the full satisfaction of the Client. For any unsatisfactory or incomplete job performed, mls will ensure the full completion of the job to the satisfaction of the Client within 3 days failing which the Client reserves the right to engage a third party to complete the job.

All charges incurred by the Client for work carried out by the third party will be reimbursed by mls.

11. Miscellaneous Terms

mls or the Client shall not be liable for any delays in meeting any of their obligations under this Agreement, where such is due to causes beyond their reasonable control.

Neither party shall assign or otherwise transfer this Agreement or any of its rights and obligations under this Agreement other than to a member of the same group of companies, whether in whole or in part, without first giving the other party prior written notice of such intended assignment or transfer.

12. Governing Law - This Agreement will be governed by and construed according to the law of the Republic of Singapore.
